Directory Listing Agreement

This Agreement governs Firm participation in Personal Injury Law Alliance directories. Participation is state-specific and inventory-limited.

Attorney Advertising. PersonalInjuryLawAlliance.com is not a law firm and does not provide legal advice. Directory listings are advertising placements. No results, rankings, traffic, or leads are guaranteed.

1. Parties and acceptance

This Directory Listing Agreement (“Agreement”) is between the subscribing law firm or attorney (“Firm,” “You”) and Personal Injury Law Alliance (“Operator,” “We,” “Us”), and governs Firm participation in Operator’s online directories and related advertising placements (the “Directory”).

By submitting a listing request, signing, clicking acceptance, paying an invoice, or otherwise participating in any paid listing type or placement, Firm agrees to be bound by this Agreement and the website Terms of Use & Advertising Terms (the “Terms”), incorporated by reference.

2. State-specific participation

Participation is state-specific. A listing or placement in one state does not grant any right to listings or placements in any other state. Each state may have separate inventory rules, page structures, and caps (including per-area featured caps and homepage caps).

Firm may participate in one or more states, but each state participation is treated as a separate advertising configuration and may be invoiced separately.

3. Definitions

  • Free Core Listing: a text-only listing that includes Firm name, city/state, limited practice focus tags, and one website link, displayed in the statewide directory standard listing set.
  • Enhanced Listing: a paid listing type that includes the statewide directory listing plus a dedicated Firm page hosted on the site. The Firm page may include additional links and displayed contact information, and other items described in Section 4.
  • Area Page: a regional directory page within a state (e.g., metro/region pages) listing firms associated with that area.
  • Area Placement: inclusion of Firm in the standard (non-featured) listing set on one or more Area Pages.
  • Statewide Coverage: inclusion of Firm in the standard listing set on all Area Pages in a state.
  • Area Featured Visibility: inclusion of Firm in a top-of-page featured block on one or more Area Pages, with highlighted styling and a featured label, subject to inventory caps and rotation.
  • Homepage Featured: inclusion of Firm in a homepage featured block or rotation linking to Firm’s dedicated page, subject to inventory caps and rotation.
  • Founding Firm / Homepage Founders: a limited placement in a dedicated “Founding Firms” section for a specific state on the homepage, capped at four (4) firms per state unless otherwise specified.
  • Inventory: the limited number of available placement slots (including featured slots) on a page type, area page, category block, or homepage section.

4. Listing types and inclusions

4.1 Free Core Listing ($0)

  • Firm name, city/state, practice focus tags (limited set), and one website link.
  • Placement in the statewide directory in the standard listing set.
  • No phone number display, no logo/photos, and no dedicated firm page.

4.2 Enhanced Listing (paid base listing type)

Enhanced Listing is the required base listing type for any paid placements, including Area Placement, Area Featured Visibility, Homepage Featured, or Founding Firm participation.

  • Includes everything in Free Core Listing.
  • Includes a dedicated Firm page hosted on Operator’s website, which may include:
    • Expanded description and practice focus highlights
    • Links to Firm website
    • Displayed phone number and/or email (as provided by Firm)
    • Optional logo and/or images if provided and approved
  • No lead delivery: The Directory does not provide lead capture forms, call tracking numbers, or inquiry routing services. Any contact actions occur directly between the Consumer and the Firm using the Firm’s published contact details and links.
  • Operator may apply minor formatting edits for consistency and compliance, without changing the substantive meaning of Firm’s content.

5. Optional visibility placements and inventory limits

5.1 Area Placement

  • Requires Enhanced Listing.
  • Firm is included in the standard listing set on one or more selected Area Pages.
  • Area selection and availability are state-specific and may be limited.

5.2 Statewide Coverage (All Areas)

  • Requires Enhanced Listing.
  • Firm is included in the standard listing set on all Area Pages in a state, subject to the state’s area page structure and ongoing site changes.

5.3 Area Featured Visibility

  • Requires Enhanced Listing plus Area Placement or Statewide Coverage for the relevant state/area(s).
  • Featured slots are inventory-limited (typically 1–3 featured firms per area page or block).
  • Rotation may be used at Operator’s discretion.
  • No exclusivity guarantee unless explicitly provided in writing.

5.4 Homepage Featured

  • Requires Enhanced Listing.
  • Homepage featured inventory is limited; rotation may be used.
  • Placement and styling are at Operator’s discretion, consistent with the site’s design and labeling requirements.

5.5 Founding Firms / Homepage Founders

  • Founding Firms are limited to four (4) firms per state unless stated otherwise.
  • Founding Firm designation is state-scoped and does not apply to other states.
  • Operator may require additional prerequisites (e.g., Statewide Coverage) as a condition of Founding Firm placement.
  • No exclusivity is guaranteed beyond the stated cap and labeling, unless explicitly provided in writing.

5.6 Site changes

Operator may change layout, styling, labels, ordering logic, page taxonomy, or directory structure over time. Operator will make commercially reasonable efforts to maintain materially equivalent placement types (standard vs featured, homepage vs area) when changes occur.

6. Content rules, approvals, and compliance

Firm is solely responsible for the truthfulness, accuracy, and legal compliance of all submitted content, including advertising claims, descriptions, images, logos, and any statements about results, specialties, comparisons, or certifications.

  • No guarantees: Firm may not submit misleading “guaranteed outcome” or unverifiable superiority claims.
  • Photos: Photos are a clarity upgrade, not an endorsement. Operator may reject or request changes to any image for quality, compliance, or policy reasons.
  • Editorial approval: Operator may require approvals for Featured placements and may remove or suspend content that is misleading, deceptive, low quality, or non-compliant.
  • Attorney advertising rules: Firm is responsible for compliance in every jurisdiction where the listing appears.

7. Payment, billing, and renewals

  • Paid listing types and add-ons are billed monthly or annually as agreed in writing or invoice.
  • Fees are for placement and display, not performance. No refunds are owed due to traffic levels, ranking outcomes, lead volume, or case outcomes.
  • Operator may change prices for new subscriptions when demand warrants; existing subscribers may be grandfathered per Operator policy.
  • Failure to pay may result in downgrade to Free Core Listing or removal of paid placements.

8. Changes, suspension, and termination

  • Operator may suspend or remove a listing or placement for non-payment, suspected fraud, misleading content, legal risk, or policy violations.
  • Firm may request cancellation of paid placements subject to the billing period and any written cancellation policy stated on the invoice/order.
  • Upon cancellation, Firm may be downgraded to a Free Core Listing at Operator’s discretion.

9. Disclaimers and limitation of liability

Operator provides advertising placement services only. Operator does not recommend or endorse any attorney or firm, does not provide legal advice, and does not guarantee outcomes.

  • No warranties: Directory is provided “as is” without warranties of any kind.
  • No liability for performance: Operator is not liable for traffic levels, ranking changes, conversion rates, or Firm’s business outcomes.
  • Limitation: To the maximum extent permitted by law, Operator’s total liability related to the paid services shall not exceed the amount paid by Firm to Operator in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

Firm agrees to defend, indemnify, and hold harmless Operator from any claims, damages, liabilities, costs, and expenses arising out of or related to: (a) Firm’s content or advertising claims; (b) Firm’s non-compliance with attorney advertising rules; (c) alleged infringement of third-party rights; or (d) Firm’s use of the Directory.

11. Miscellaneous

  • Governing documents: This Agreement and the Terms constitute the entire agreement regarding listings/placements.
  • Severability: If any provision is unenforceable, the remainder remains in effect.
  • No assignment: Firm may not assign this Agreement without Operator’s written consent.
  • Updates: Operator may update this Agreement with notice via posting; continued participation constitutes acceptance of updated terms.
